Services
We provide web design, development, integration, and related consulting services. Scope, timeline, and price are confirmed in writing per engagement — usually a quote or proposal — which, once accepted, sits alongside these terms.
Fees and payment
- Prices are in NZD and exclude GST unless stated.
- Fixed-price work is invoiced per milestone or on completion, as agreed.
- Hosting and subscription fees are invoiced monthly or annually per the plan.
- Invoices are due within 14 days unless otherwise agreed.
- Late payment may pause active work.
Ownership
Once an engagement is paid in full, you own the code and assets we deliver for your project, with the usual exceptions:
- Third-party software and libraries keep their own licences.
- Generic tooling, helpers, and internal know-how remain ours to reuse.
- You grant us permission to reference the finished work in our portfolio and case studies, unless we agree otherwise in writing.
Your responsibilities
You're responsible for the content and information you give us, the accuracy of your business details, and keeping any credentials we share secure. We rely on timely responses from you; long silences can push timelines out.
Third-party platforms
Our work often depends on third-party providers (Cloudflare, email hosts, payment processors, CMSs, and so on). Their terms, availability, and pricing apply on top of ours, and changes on their side can affect the service.
Warranties and liability
We do our best to deliver work that's correct, secure, and fit for purpose. Software is never perfect though — we don't warrant that services will be uninterrupted or bug-free.
To the extent permitted by law, our total liability for any claim is capped at the fees you've paid us for the engagement the claim relates to, and we're not liable for indirect or consequential loss. If you're engaging us in trade, you acknowledge that the NZ Consumer Guarantees Act 1993 does not apply.
Ending an engagement
Either party can end an engagement in writing. You're liable for work done up to the termination date. We'll hand over anything paid for, and return or delete anything we shouldn't keep.
Governing law
These terms are governed by the laws of New Zealand. Any dispute is subject to the exclusive jurisdiction of the New Zealand courts.
Changes
We may update these terms from time to time. The current version always lives at /terms.
